Business Logic IT Services
Effective: May 1, 2025

Welcome to Business Logic IT Services. These Terms and Conditions ("Terms") serve as a legally binding agreement between Business Logic IT Services ("we," "our," or "the Company") and you, the client ("you," "your," or "the Customer"). By engaging with our services, placing an order, approving a quotation, or communicating with our team, you agree to all terms outlined herein, whether explicitly signed or implied through the commencement of work. These Terms are intended to ensure transparency, accountability, and mutual understanding between both parties.

Business Logic IT Services is a Canadian-owned and operated company founded in 2025, offering IT services and solutions to clients across industries such as construction, logistics, retail, healthcare, and professional services. All services—including consulting, managed support, VoIP deployment, cloud integrations, surveillance systems, hardware provisioning, software licensing, access control, and cybersecurity—are provided under agreed scopes defined in quotations, proposals, or service-level agreements. Work will not begin until the client formally accepts the associated quote or agreement in writing (email confirmation, digital acceptance, or signature). Once accepted, the scope, terms, pricing, and deliverables become contractually binding.

All payments are due within fourteen (14) calendar days of the date on the invoice unless otherwise agreed to in writing. For any hardware procurement, full 100% prepayment is required before ordering or reserving inventory. This includes, but is not limited to, laptops, desktops, networking gear, security systems, access control hardware, EV chargers, or peripheral components. Once a hardware order is placed or initiated, it is non-refundable and non-cancellable under any circumstances, regardless of project status or client decision. We do not accept returns on hardware once it has been ordered, even if it has not yet been delivered, deployed, or unboxed. This is necessary to maintain transparency and fairness due to our reliance on third-party vendors, non-returnable stock policies, and custom provisioning. Similarly, any third-party licensing or subscription fees, such as Microsoft 365, antivirus software, or VoIP subscriptions, are non-refundable once activated.

Quotations provided by Business Logic IT Services are valid for a limited time and subject to change. Once a quotation is formally accepted, it is deemed final, and the associated project, service, or product is confirmed. Clients may not cancel accepted quotes unless explicitly agreed upon by the Company in writing. All work performed under an accepted quote is billable as outlined and subject to standard terms.

Late or unpaid invoices will be subject to additional fees. Specifically, a 20% interest penalty per month will be applied to the total outstanding balance starting the day after the due date. This interest will continue to accrue monthly until payment is made in full. If an invoice remains unpaid for an extended period, we reserve the right to suspend or terminate active services and initiate formal collections. The client is liable for all associated legal and administrative costs incurred during debt recovery.

Hardware and equipment are shipped via third-party carriers such as FedEx, UPS, Purolator, or Canada Post. Business Logic IT Services is not responsible for delays caused by carriers, inclement weather, or other external factors. Clients are expected to ensure the accuracy of their delivery address and availability to receive shipments. If, for any reason, a delivery is missed, refused, or undeliverable and the product is returned to us, the client agrees to fully reimburse Business Logic IT Services for all incurred costs, including return shipping, re-shipping, administrative handling, and restocking fees. If the client is shipping any hardware or returns to us, the shipping address must be confirmed in advance with your assigned Account Executive. Shipments received at an unverified or incorrect location may be refused or lost without liability on our part.

Business Logic IT Services aims to deliver high-quality results across every project. However, we make no guarantees of uninterrupted service, perfect functionality, or protection from all cyber threats. Our solutions are designed to reduce risk—not eliminate it entirely. In the event of a system failure, security breach, data loss, hardware damage, or business interruption—even if such an event was caused unintentionally by our services, staff, or tools—the client agrees that Business Logic IT Services shall not be held liable for direct or indirect damages. The client accepts full responsibility for maintaining backups, system redundancies, proper endpoint protection, and cyber insurance coverage.

All services are provided during Canadian business hours unless otherwise stated in your agreement. Business Logic IT does not outsource support to offshore locations and operates fully within Canadian time zones. As part of our client-first approach, we provide dedicated account management to ensure clear communication, fast response times, and minimal friction. However, we are not responsible for delays caused by lack of access, withheld approvals, miscommunication, or unavailable client-side personnel.

In the event of a dispute arising between Business Logic IT Services and the client, both parties agree to make reasonable efforts to resolve the matter through direct negotiation in good faith. If a resolution is not reached within 30 days, the parties will proceed to formal mediation using a mutually agreed-upon neutral third party. If mediation fails, the issue will be escalated to the appropriate civil court in the Province of British Columbia, Canada, where Business Logic IT Services is legally incorporated. Both parties agree to this jurisdiction and waive the right to file litigation in any other region. The client shall be responsible for all legal fees, court costs, and damages awarded if found in breach of contract or non-compliant with payment obligations.

These Terms may be updated or amended from time to time without prior notice. Updates will be posted publicly on our website and included in service agreements or invoices as applicable. Continued use of our services constitutes acknowledgment and acceptance of the most current version of our Terms and Conditions.

Referral Program Terms & Conditions

  1. Who Can Refer:
    Open to individuals or businesses in Canada. You don’t have to be a client.

  2. Qualified Referrals:

    • Must be submitted before the lead contacts us

    • Must result in a signed, paid project or recurring contract

    • Lead must convert within 120 days of submission

  3. Eligible Reward Tiers:

    • $2,000–$5,000 for any monthly/managed services generating recurring revenue (e.g., IT support, surveillance, automation, licensing, cloud, etc.)

    • $200–$2,000 for one-time or short-term projects, depending on total invoice value

  4. Reward Payment:

    • Paid via eTransfer or cheque within 30 days of full client payment

    • Must provide valid ID and contact information

    • Amount determined by scope and actual revenue, not lead type

  5. Limitations:

    • One reward per referred lead (first valid referrer gets it)

    • No payout for cancelled, unpaid, or refunded projects

    • No self-referrals or existing clients

  6. Legal & Tax:

    • Payouts may require income declaration (T4A for over $500)

    • You are responsible for any applicable taxes

  7. Program Changes:
    Business Logic IT reserves the right to amend or cancel the program at any time without prior notice.
